Tangbuy Dropshipping Terms & Conditions

Please read these Terms and Conditions carefully (including all information referenced by link), especially the sections on governing law, dispute resolution, disclaimers or limitations of liability, amendments, and your rights and obligations. By clicking or checking “Agree” on a web page, accessing and/or using any part of dropshipping.tangbuy.com, or otherwise accepting these Terms, you acknowledge that you voluntarily accept all terms and conditions herein and agree to be bound by them (including other terms, conditions and policies incorporated by reference). If you do not agree to any part of these Terms, please stop accessing and using dropshipping.tangbuy.com.
1. Introduction
1.1 These Terms are an agreement between you ("you" or "User") and Astrobuy (Hong Kong) Limited, the owner of dropshipping.tangbuy.com ("Tangbuy" or "we"). Tangbuy provides services to users based on the dropshipping.tangbuy.com website and/or application (the "TangbuyDS Services"). Any and all rules, policies, guidelines, terms and conditions published and/or amended by Tangbuy from time to time that relate to the TangbuyDS Services (collectively, the "TangbuyDS Rules") form an integral, inseparable part of these Terms and have the same legal effect. You acknowledge and agree that by using the TangbuyDS Services, you accept and are bound by the TangbuyDS Rules.
1.2 Tangbuy may modify (including formulating, amending, or abolishing) these Terms and the TangbuyDS Rules at any time. Any change will be posted on the dropshipping.tangbuy.com website and will take effect immediately upon publication (unless otherwise specified). Your continued use of the TangbuyDS Services on or after the effective date of the amended Terms and/or TangbuyDS Rules constitutes your acceptance of and agreement to be bound by them. You are responsible for reviewing updates regularly; Tangbuy is not obligated to provide notice of updates by any means other than posting on the website.
1.3 These Terms, together with the Tangbuy.com Terms of Use (https://tangbuy.com/help/doc/tangbuy_help_center?code=user_agreement), the TangbuyDS Rules, and our Privacy Policy, constitute the entire agreement between you and Tangbuy regarding your use of the TangbuyDS Services and/or your access to and use of the dropshipping.tangbuy.com website or application, and supersede any prior agreements (whether written or oral). In the event of any inconsistency between these Terms and the Tangbuy.com Terms of Use, the following order of precedence applies: these Terms first, then the Tangbuy.com Terms of Use.
2. User Account
2.1 As a condition of using the TangbuyDS Services, you must have successfully created a user account in accordance with the Tangbuy.com Terms of Use and relevant rules, and complete your online store authorization and/or ing on dropshipping.tangbuy.com as required by Tangbuy.
2.2 You represent and warrant that you are at least 18 years old, have the legal capacity to enter into a contract under applicable laws, and are fully capable of understanding, accepting, and complying with these Terms. If you do not meet these requirements, you and your guardian shall bear all resulting liabilities and consequences.
2.3 You represent and warrant that: (a) all information you submit in connection with the TangbuyDS Services is accurate, truthful, current, and complete, and you agree to maintain and promptly update it; (b) you will not submit any false content (including but not limited to usernames or profiles) to Tangbuy or impersonate any person; (c) you are solely responsible for the security of your account and will maintain its safety and prevent misuse at all times; and (d) you are fully responsible and assume all risks for any information, data, or communications related to your account and for all operations and actions under your account (whether authorized by you or not).
2.4 If you accept these Terms on behalf of a company or other legal entity, you represent and warrant that: (a) you are authorized to do so; (b) the legal entity you represent agrees to be bound by these Terms; and (c) all information you submit is accurate, truthful, current, and complete. For clarity, if the entity information you submit involves other legal entities, such entities will be deemed represented by you and will be jointly bound by these Terms, the TangbuyDS Rules, and the Tangbuy.com Terms of Use. We may, in our sole discretion, refuse access to or use of the TangbuyDS Services to anyone and may change eligibility criteria at any time. If any provision of this clause is invalid in your jurisdiction, your right to access and use the TangbuyDS Services in that jurisdiction will be revoked.
2.5 You represent and warrant that the information you submit when creating your account (including but not limited to your email address) is always complete, truthful, accurate, and current. We may send notices (if any), approvals (if any), and service-related information to the email address you provided. You will be deemed to have received such notices, approvals, and other information even if that email address is not current.
2.6 If Tangbuy has reasonable grounds to suspect that your personal information is erroneous, untrue, outdated, or incomplete, Tangbuy may inquire and/or require correction, and may delete such information, and suspend or terminate some or all TangbuyDS Services to you. You shall bear any resulting damages or consequences, and Tangbuy assumes no liability.
2.7 You may be required to provide a username, password, and other information for identity verification to protect your account. If Tangbuy detects abnormal activity, we may, without notice, take security measures including restricting login. You must keep your account information confidential and are fully responsible for all activities, liabilities, and damages resulting from failure to maintain password security. Any login will be deemed your operation, and the records will serve as valid evidence. You are solely responsible for all operations under your account (including but not limited to information disclosure, click-through or checking agreements online, and purchases). You shall compensate Tangbuy for any loss caused by your actions.
2.8 You represent and agree that you will not use any other person's account; will not sell, gift, lend, transfer, or share your account (including username and password) or permit others to use it; and will not circumvent any authentication mechanism requiring a username, password, or other information to use the TangbuyDS Services in an unauthorized manner. Such conduct may cause irreparable harm to Tangbuy, and you shall compensate Tangbuy for any losses. If your password is used by an unauthorized person or a security breach occurs, you agree to notify Tangbuy immediately. Tangbuy assumes no liability for any loss or damage arising directly or indirectly from your failure to maintain password security.
3. User Code of Conduct
3.1 You represent, warrant, and undertake that: (a) you will use the TangbuyDS Services in accordance with these Terms and the TangbuyDS Rules and will at all times comply with these Terms, the TangbuyDS Rules, and the Tangbuy.com Terms of Use; (b) your use of the TangbuyDS Services does not violate any applicable laws or governmental requirements (including all rules relating to communications and data protection); (c) you will comply with all applicable laws, including anti-bribery, anti-corruption, and tax laws related to your activities; (d) you have no obligations or commitments (and will not undertake any) that conflict with your obligations under these Terms, the TangbuyDS Rules, and the Tangbuy.com Terms of Use; (e) you will not use the TangbuyDS Services in any manner that causes or may cause damage to the Services, or in any unlawful, fraudulent, harmful, or prohibited way; and (f) you will not engage in any conduct that may adversely affect Tangbuy and/or the TangbuyDS Services (including publishing false statements about Tangbuy and/or the Services).
3.2 You represent and agree that you shall not use the TangbuyDS Services or the dropshipping.tangbuy.com website or application to engage in the following prohibited conduct: (a) transmitting or posting any information, data, materials, files, text, links, software, or other content that is illegal, infringing, harmful, threatening, extortionate, defamatory, harassing, abusive, vulgar, obscene, pornographic, hateful, misleading, fraudulent, discriminatory, or offensive on racial, ethnic, or other grounds, or any content that may give rise to legal liability under applicable laws; (b) impersonating, or otherwise falsely stating or misrepresenting, any affiliation, connection, or association with any individual or entity; (c) providing Tangbuy or any other person with false, misleading, or inaccurate information or materials relating to the TangbuyDS Services; (d) attempting to conceal or misrepresent the identity of the submitter, or the source of any materials, content, or services; (e) sending spam or other marketing messages, or using the dropshipping.tangbuy.com website or application to conduct advertising, marketing activities, or any commercial solicitation; (f) intentionally or unintentionally engaging in, or inducing others to engage in, conduct that infringes any third party’s copyright, patent, trademark, trade secret, or other proprietary rights, privacy rights, or other lawful rights; (g) intentionally or unintentionally engaging in, or inducing others to engage in, conduct that violates any applicable laws or regulations, or creating, copying, publishing, or disseminating content that violates any applicable laws or regulations; (h) damaging the reputation or rights of Tangbuy and related persons ( “Tangbuy and related persons” means Tangbuy and its officers, employees, directors, shareholders, or agents, and each of their respective successors and assigns), other users, or third parties by transmitting or posting information or by using the TangbuyDS Services; (i) interfering with the normal operation of the dropshipping.tangbuy.com website or application, interfering in any way with other users’ use of the TangbuyDS Services, or engaging in conduct deemed inappropriate by Tangbuy; (j) attempting to probe, scan, or test the vulnerability of the TangbuyDS Services or related systems or networks, or attempting to breach security or authentication measures of the TangbuyDS Services or related systems or networks; (k) reverse engineering, decompiling, or disassembling the TangbuyDS Services, or otherwise attempting to discover the source code or algorithms of the TangbuyDS Services; (l) accessing content or data not intended for you, or logging into servers or accounts that you are not authorized to access; (m) without Tangbuy’s prior written consent, copying, distributing, publishing, transmitting, displaying, modifying, creating derivative works from, or otherwise engaging in any similar conduct with respect to the TangbuyDS Services or their content; (n) using the TangbuyDS Services to copy, store, host, transmit, send, use, publish, or distribute any content that contains (or links to) any spyware, computer virus, Trojan horse, worm, or other malicious software or applications; (o) using any automated system (including but not limited to “robots,” “spiders,” or “offline readers”) to conduct data-collection activities (including but not limited to scraping, data mining, data extraction, and data harvesting) with respect to any content in the TangbuyDS Services or related services. You acknowledge and agree that whether you have violated the provisions of this section shall be determined solely by Tangbuy.
3.3 Subject to your compliance with this Agreement, any content, materials, or information obtained from the dropshipping.tangbuy.com website or application may be used solely for the purposes authorized under the TangbuyDS Services, and shall not be used for any other unauthorized or unlawful purposes.
3.4 You acknowledge and agree that any unauthorized use of the TangbuyDS Services and/or their content, or any violation of applicable laws or these Terms when using the Services, may cause irreparable harm to Tangbuy and related persons. In such events, Tangbuy may, in its sole discretion, terminate your use of the Services, delete relevant content, preserve records and report to authorities, bring legal action, or take any other actions permitted by law. Tangbuy’s failure or delay in taking such actions does not constitute a waiver of its rights. You agree to defend, indemnify, and hold harmless Tangbuy and related persons from and against any harm arising therefrom.
4. Data Protection
4.1 When you access and/or use the TangbuyDS Services, please carefully read our Privacy Policy to understand how we use and protect your personal data. The Privacy Policy forms an integral part of these Terms. Your access to and/or use of the Services signifies your agreement to be bound by the Privacy Policy.
4.2 To provide the TangbuyDS Services and based on your use thereof, your authorization and/or binding of your online store signifies your consent for us to collect, use, and share your store data and other data (including but not limited to order information, product information, and other third-party information). You hereby represent and warrant that: (a) you have obtained sufficient authorization and consent from end users (buyers of your store’s products) permitting the collection, use, and sharing of their personal data for the purposes necessary to perform our services; (b) you have obtained sufficient authorization and consent from end users permitting us and partners to analyze and process collected end-user personal information in a de-identified and aggregated manner; (c) you will comply with applicable laws, regulations, and regulatory requirements, including those on personal data and privacy; and (d) if your breach of the foregoing results in end users asserting any claim against us or involving us in legal or administrative proceedings, you will resolve the matter and compensate us for any losses. We may engage third-party partners and service providers to assist us in providing services (such as order processing, warehousing and logistics, and package delivery). Your authorization and/or linking of your store signifies your acknowledgement and consent that we may share such information and data with third parties we cooperate with to provide required services or features.
5. Fees
Tangbuy incurs substantial costs in providing and maintaining the TangbuyDS Services. Except for those fee-based services expressly specified within the TangbuyDS Services, no additional fees are currently charged. However, Tangbuy reserves the right to impose reasonable fees in the future. At that time, the applicable fee schedule, settlement methods, and other charging rules will be announced on the dropshipping.tangbuy.com website at least seven (7) days in advance to ensure that you have sufficient opportunity to make your choice. If you do not agree to the announced charging rules, you must cease using the TangbuyDS Services and provide Tangbuy with written notice of termination of this Agreement before the effective date designated by Tangbuy. Failure to provide such notice in due time or continued use of the TangbuyDS Services after the effective date shall be deemed your acceptance of the announced charging rules.
6. User-Uploaded Content
6.1 You may provide materials (including feedback, suggestions, ideas) and/or post, upload, input, or submit text, images, photos, graphics, audio, video, audiovisual materials, software, reviews, and other content (collectively, “User-Uploaded Content”) when using the Services. By providing, posting, uploading, inputting, or submitting User-Uploaded Content, you grant Tangbuy and its designees a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, sublicensable (including through multiple tiers), unrestricted license to use your User-Uploaded Content and its contents without payment, reporting, approval, or notice to you or any third party (the “User-Uploaded Content License”). The License includes, without limitation, the right to publish, distribute, use, improve, translate, edit, update, create derivative works from, assign, sell, or combine all or part of the User-Uploaded Content with other works worldwide, permanently, in any manner and for any purpose, in the name of Tangbuy and/or its designees. Unless otherwise provided in our Privacy Policy, Tangbuy and its designees are not required to treat any User-Uploaded Content as confidential.
6.2 With respect to your User-Uploaded Content, you hereby represent and warrant that: (a) you own or control all rights in any content contained in the User-Uploaded Content; (b) for any content in the User-Uploaded Content involving third-party rights holders, you have obtained appropriate and sufficient licenses from such third-party rights holders permitting you to use such content under this Agreement and to include it as part of the User-Uploaded Content; (c) you have obtained all necessary permissions from any person mentioned, identified, or described in the User-Uploaded Content to submit such information to Tangbuy and/or publish it on the dropshipping.tangbuy.com website or application in accordance with this Agreement; (d) your User-Uploaded Content will not infringe any intellectual property rights, trade secrets, or any other rights of third parties; and (e) you shall not use a false email address, impersonate any person, or otherwise mislead Tangbuy and/or any third party as to the origin of the User-Uploaded Content.
6.3 You are responsible and liable for your User-Uploaded Content, and you agree to indemnify, defend, and hold Tangbuy and/or its designees harmless from any claims, damages, liabilities, or losses arising out of your User-Uploaded Content or from Tangbuy’s and/or its designees’ use of such User-Uploaded Content.
6.4 Unless otherwise agreed in writing with Tangbuy, you irrevocably and permanently waive any right to make claims or demands against Tangbuy and/or its designees regarding your User-Uploaded Content and release Tangbuy and/or its designees from liability. You also grant Tangbuy the right to bring claims or enforcement actions against any infringement of your User-Uploaded Content.
6.5 To comply with this Agreement and our Privacy Policy, Tangbuy reserves the right to review your access to and/or use of the dropshipping.tangbuy.com website or application and your interactions with the dropshipping.tangbuy.com website or application, and reserves the right to edit, block, or remove any User-Uploaded Content (including comments) from the dropshipping.tangbuy.com website and/or application that Tangbuy deems illegal, offensive, or otherwise inappropriate. If Tangbuy receives a notice from a rights holder claiming that your posted or transmitted User-Uploaded Content infringes their relevant rights, Tangbuy shall have the right to make an independent determination and take measures such as deletion, blocking, or disabling links. Notwithstanding Tangbuy’s rights in relation to User-Uploaded Content under this Agreement, we shall not be required to proactively review, edit, block, or remove User-Uploaded Content from the dropshipping.tangbuy.com website or application.
6.6 In addition to the rights applicable to any User-Uploaded Content, when you post comments on the dropshipping.tangbuy.com website and/or application, you also grant us the right to use the name or username you submitted in connection with such comments or other content.
7. Links and Third Parties
7.1 For your convenience, the dropshipping.tangbuy.com website or application may contain links to other websites on the Internet that are operated or controlled by third parties. Such linked websites are not under Tangbuy’s control, and the inclusion of such links does not constitute an endorsement by Tangbuy of those websites. Tangbuy is not responsible for the content of any linked websites. You agree that any risks and consequences arising from your access to and use of such websites shall be borne solely by you.
7.2 The dropshipping.tangbuy.com website or application may contain third-party services or may be connected with third-party services (collectively, “Third-Party Services”). Tangbuy cannot control the content or provision of Third-Party Services, and Tangbuy has not reviewed and cannot review any content provided by Third-Party Services, including computer software or other goods or services. Accordingly, Tangbuy makes no guarantee or endorsement as to the accuracy, suitability, timeliness, legality, or quality of any Third-Party Services or any content, goods, or services provided through them, and Tangbuy assumes no responsibility for any Third-Party Services. You agree that any risks and consequences arising from your use of Third-Party Services shall be borne solely by you, and Tangbuy shall not be liable in this regard.
8. About Orders
8.1 Before placing an order using the TangbuyDS Services, you must carefully read the product details on dropshipping.tangbuy.com and make an informed judgment based on your risk tolerance. Important risks prior to shipment include: (a) dropshipped goods are sourced directly from within the People’s Republic of China and may not have labeling in your local language; quality, safety, health, environmental, and labeling standards or technical specifications in the country/region of origin (primarily the PRC) may differ from, be inconsistent with, or even conflict with those of your country/region— you must identify and assume these risks; and (b) intellectual property rights are territorial. Goods may comply with the IP laws of the country of origin (primarily the PRC) yet not comply with IP laws in your country/region, you must identify this risk and waive any claim against Tangbuy.
8.2 Before ordering, please carefully confirm the product name, price, quantity, specifications, model, size, and any restrictive requirements, and recheck your delivery address, phone number, and recipient details. If the recipient you provide is not yourself, you will bear all legal consequences arising from the recipient’s acts and statements. Clicking the “Submit Order” button signifies that all information in your order is accurate and complete.
8.3 Although the dropshipping.tangbuy.com website or application endeavors to provide accurate product and pricing information, errors in price or product details may still occur. Tangbuy cannot confirm the price of a product until after you place an order. If a product is listed at an incorrect price or with incorrect information due to a pricing or product information error, Tangbuy reserves the right, at its sole discretion, to refuse or cancel any orders placed for that product. In the event of a pricing error, Tangbuy may, at its sole discretion, either contact you for instructions or cancel the order for that product and notify you accordingly.
8.4 The Order Refund Policy, as one of the Tangbuy Rules, is an important basis for handling your refund requests. Please read it carefully. The Order Refund Policy forms an integral part of these Terms. Your use of the TangbuyDS Services signifies your agreement to be bound by it.
8.5 Tangbuy reserves the right, in its sole discretion and for any reason, to refuse or cancel any order without liability. Circumstances that may lead to refusal or cancellation include, but are not limited to: (a) quantity limits, out-of-stock items, items unsuitable for cross-border transportation, or incorrect/inaccurate product or pricing information; (b) your refusal to pay amounts due on the order; (c) any outstanding amounts you owe to Tangbuy; and (d) issues identified by our anti-fraud and/or risk control departments. Before accepting an order, we may require additional identity verification or supplementary information. If your order is wholly or partly canceled, or if additional information is required before acceptance, we will contact you.
8.6 Under customs regulations, users must provide valid and accurate information and data (including but not limited to recipient name and address). Some countries/regions may require recipients to submit identification or passport information to clear packages. You are responsible for the accuracy, truthfulness, and completeness of the information and data you provide. We assume no liability if inaccurate information or data results in a failure to ship, deliver, declare, or clear customs.
8.7 Users are responsible for complying with applicable laws and for bearing and paying all import duties or other taxes (if any) applicable to order packages upon arrival in the destination country/region. If goods are seized by customs due to the user’s and/or recipient’s failure or refusal to pay import duties or other taxes in a timely manner, the user shall bear all resulting responsibilities and consequences.
8.8 When placing orders using the TangbuyDS Services, you understand and agree that if you pay through permitted payment tools, your payment may be subject to the payment service provider’s terms of service, privacy policy, and refund policy. You are responsible for understanding such agreements, policies, and any fees. Tangbuy is not responsible for any fees charged by payment service providers.
9. Logistics Services
9.1 When placing orders using the TangbuyDS Services, you may select appropriate shipping methods. Different methods may have different costs and timeframes. You may choose a suitable logistics plan using the shipping cost calculator in the Services. We will adjust shipping rates periodically or seasonally based on quotations from third-party logistics providers. After such adjustments, we will inform you by email, in-site messages, or public announcement on dropshipping.tangbuy.com. You can check the latest rates in the shipping cost calculator.
9.2 You acknowledge and agree that the shipping fee you pay at the time of placing an order is only an estimated amount. In light of possible discrepancies in the estimated weight or volume of the goods, such estimate is for reference only, and the actual payable shipping fee shall be determined based on the package’s actual packed weight and measurement. If the shipping fee you paid when placing the order is less than the actual payable amount, Tangbuy may, without further notice, directly deduct the difference from your user account balance, and you are responsible for maintaining sufficient funds in your account at all times. If your account balance is insufficient to cover the difference, your user account balance will show a negative amount, and you are then responsible, either on your own initiative or within the period specified by Tangbuy, to recharge your account in accordance with Tangbuy’s requirements and relevant rules in order to restore a sufficient balance (Tangbuy may, without further notice, directly deduct the payable amount from your account balance). If you fail to replenish your account with sufficient funds within the required period, Tangbuy reserves the right, at its sole discretion, to suspend, restrict, terminate, refuse, or revoke your right to use the TangbuyDS Services and/or to access or use the dropshipping.tangbuy.com website or application at any time, and you shall be liable for compensating Tangbuy for any losses incurred (including but not limited to the amounts owed by you). If the shipping fee you paid when placing the order is greater than the actual payable amount, Tangbuy will, without further notice, refund the difference to your user account balance.
9.3 For packages sent to certain remote countries/regions, logistics tracking may occasionally be unavailable. As only postal services may be provided and flights may be limited, delivery times may be slow. If the recipient has not received the goods, please contact the local post office first for verification.
9.4 If a package cannot be delivered due to reasons attributable to you and/or the recipient (including but not limited to incorrect address, incomplete address, unreachable recipient, recipient not at home, etc.): (a) if the logistics provider offers redelivery services, we may require you to pay redelivery fees; if no redelivery is offered, you will bear the loss; and (b) if free storage is offered, and the package still cannot be delivered after the free storage period, Tangbuy may dispose of the package and fees already paid will not be refunded.
9.5 Tangbuy is not liable for damage, loss, delay, or non-delivery caused by: (a) force majeure, including but not limited to earthquakes, fires, snowstorms, floods, typhoons, storms, fog, severe weather, strikes, riots, explosions, wars or threats of war, terrorist incidents, traffic accidents, embargoes, regulatory or policy changes, acts, decisions, or orders of governmental or judicial authorities, robbery, hijacking, or other unforeseeable, unavoidable, or uncontrollable events; (b) damage due to the goods’ natural properties, inherent defects, or reasonable wear and tear; or (c) reasons attributable to the user and/or recipient (including but not limited to incorrect or incomplete address, unreachable recipient, recipient not at home or moved, refusal, failure to collect in time, no safe delivery location, customs clearance issues, etc.).
10. Consent to Electronic Communications
By creating an account and providing your email address, you expressly consent to receive regular or occasional electronic communications from us (including but not limited to emails, SMS, and/or in-site messages) relating to your purchases, customer service inquiries, etc. We may send or display promotions regarding the TangbuyDS Services and other information that may interest you via the email address you provided or by other appropriate means.
11. Intellectual Property
11.1 All text, charts, images, graphics, photos, sounds, music, works, software, audio, video or other images, button icons, audio clips, logos, and other content contained in the TangbuyDS Services and on the dropshipping.tangbuy.com website and/or application (collectively, the “Tangbuy Content”) are proprietary to Tangbuy or are used by Tangbuy under license, and are protected by applicable intellectual property laws and regulations.
11.2 All trademarks, registered trademarks, service marks, domain names, logos, and other identifiers relating to “Tangbuy” and “Tangbuy dropshipping” (collectively, the “Tangbuy Marks”) in the TangbuyDS Services are owned by Tangbuy and/or used by Tangbuy under license, and are protected by applicable intellectual property laws and regulations. Other trademarks, service marks, domain names, and logos appearing on the dropshipping.tangbuy.com website or application may be third-party identifiers (collectively, the “Third-Party Marks”). Any unauthorized copying, modification, imitation, or use of the Tangbuy Marks or the Third-Party Marks is strictly prohibited. Nothing in the TangbuyDS Services or in this Agreement shall be construed as granting, by implication or otherwise, any license or right to use any trademark displayed on dropshipping.tangbuy.com without the prior written permission of Tangbuy or the applicable trademark rights holder.
11.3 If any organization or individual believes that a user has submitted unauthorized materials through the dropshipping.tangbuy.com website or application that infringe your copyright and wishes to have such allegedly infringing materials removed, you may send a request by email to care@tangbuy.net. Your email must include all information required under applicable laws.
12. Confidentiality
Any information provided to you relating to the TangbuyDS Services, including information concerning software, technology, or financial status, or any other information designated by Tangbuy as confidential (collectively, “Confidential Information”), is an important asset we intend to keep confidential. You agree to take all reasonable and necessary measures to protect the Confidential Information from any use or disclosure not expressly permitted herein. Except as necessary to perform these Terms, you shall not use the Confidential Information for any other purpose or disclose, leak, or reveal it to any third party, directly or indirectly.
13. Limitation of Liability and Disclaimers
13.1 You acknowledge that the TangbuyDS Services and/or the operation of the dropshipping.tangbuy.com website or application may experience malfunctions or errors; that the dropshipping.tangbuy.com website or application or the servers providing the TangbuyDS Services may be subject to attacks by malicious or destructive code or programs; and that the content within the TangbuyDS Services and/or the dropshipping.tangbuy.com website or application may become outdated or be modified after publication.
13.2 Tangbuy provides the TangbuyDS Services to users on an “as is” and “as available” basis. You acknowledge and agree that you assume all risks arising from your use of the TangbuyDS Services. To the maximum extent permitted by applicable law, Tangbuy makes no express or implied warranties, including but not limited to warranties that the TangbuyDS Services and/or the dropshipping.tangbuy.com website or application are merchantable, reliable, complete, accurate, secure, fit for a particular purpose or need, non-infringing, error-free, or defect-free, or that they will operate without interruption or delay, or that your use of the TangbuyDS Services will comply with applicable laws and regulations, or that the transmission of user information related to the TangbuyDS Services will be successful, accurate, or secure.
13.3 To the maximum extent permitted by applicable law, you, on behalf of yourself, any legal entity you represent (if applicable), your personal representatives, and your heirs, voluntarily agree that Tangbuy and its related persons shall not be liable to you or any third party for any damages or losses (including but not limited to any direct, indirect, consequential, or punitive damages or losses, loss of income, loss of profits, loss of data, loss of privacy, loss of goodwill, loss of contracts, loss of use of funds, or damages arising from or in connection with business interruption), whether based on tort, contract, or any other form of liability, and whether or not such damages or losses were reasonably foreseeable or previously advised, resulting from: (a) your use of, or inability to use, the TangbuyDS Services or any content or services contained therein (including but not limited to links to third-party websites); (b) your access to, use of, or inability to access or use the dropshipping.tangbuy.com website and/or application; (c) your use of any User-Uploaded Content; (d) any errors, inaccuracies, viruses, malware, malicious programs, or interruptions of the TangbuyDS Services; or (e) maintenance of information network equipment, connection failures, failures of computers, communications, or other systems, power outages, strikes, riots, fires, floods, storms, explosions, wars, government actions, orders of competent judicial or administrative authorities, or reasons attributable to third parties.
13.4 Nothing herein excludes or limits any warranty, liability, or representation that cannot be excluded or limited under applicable law.
13.5 Notwithstanding any of the foregoing provisions, the aggregate liability of Tangbuy and its related persons to any user for all claims in any calendar year arising out of or in connection with the use of the TangbuyDS Services and/or access to or use of the dropshipping.tangbuy.com website or application (regardless of the cause of action) shall not exceed HKD 100. The foregoing shall not preclude a user’s requirement to prove actual damages. Any claims arising out of the use of the TangbuyDS Services and/or access to or use of the dropshipping.tangbuy.com website or application (if any) must be brought within one (1) year from the date the cause of action arose, or within such longer period as may be prescribed by the applicable law governing this Agreement.
13.6 You agree that such limitations of liability are a reasonable allocation of risk and a fundamental basis of the bargain between you and us. Without these limitations, the TangbuyDS Services could not be provided.
13.7 Any oral or written information obtained through the Services or otherwise shall not alter the disclaimers or limitations set forth in this section.
13.8 Nothing in the Services constitutes or is intended to constitute any type of advice. If you need advice regarding legal, financial, or medical matters, you should consult an appropriate professional.
13.9 Your use of the Services signifies that you find the disclaimers and limitations of liability herein reasonable; if you do not, you should immediately stop using the Services.
14. Indemnification
14.1You agree to defend, indemnify, and hold harmless Tangbuy, its parent company and affiliates, and their officers, employees, directors, shareholders, partners, or agents from and against any and all claims, actions, damages, losses, costs, fines, penalties, liabilities, and expenses (including but not limited to attorneys’ fees) arising from: (a) your use or misuse of the TangbuyDS Services; (b) your access to, use of, or misuse of the dropshipping.tangbuy.com website or application; (c) your breach of any provision of this Agreement, including but not limited to any statements, representations, acknowledgments, consents, warranties, or prohibitions on the use of the TangbuyDS Services contained herein; (d) your infringement of Tangbuy’s or any third party’s copyright, trademark, patent, privacy, trade secret, other intellectual property rights, or proprietary rights; or (e) your violation or alleged violation of any applicable laws or regulations. Tangbuy reserves the exclusive right to assume the defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with Tangbuy in asserting any available defenses against such third-party claims.
14.2 Without limiting the generality of Section 14.1, if Tangbuy, its parent or affiliates, or their officers, employees, directors, shareholders, partners, or agents are sued by a third party due to your breach of obligations under these Terms or your negligence or misconduct, you shall indemnify them for all claims brought by such third party. If Tangbuy requests information or explanations from you to protect its rights under applicable law, you shall promptly provide such information and reasonable assistance.
15. Termination
15.1 Tangbuy reserves the right, at its sole discretion and for any reason, to suspend, restrict, terminate, refuse, or revoke a user’s right to use the TangbuyDS Services and/or to access or use the dropshipping.tangbuy.com website or application, including but not limited to any violation or suspected violation by the user of this Agreement or any applicable laws or regulations. If a user breaches any statement, representation, acknowledgment, consent, warranty, prohibition on the use of the TangbuyDS Services, or other prohibited conduct under this Agreement, this Agreement shall automatically terminate without prior notice, and Tangbuy shall not be liable for any damages or losses arising therefrom.
15.2 Tangbuy shall have the right, at its sole discretion, to adjust, upgrade, or modify the functions, content, domain names, or other aspects of the TangbuyDS Services and/or the dropshipping.tangbuy.com website or application, on a regular or ad hoc basis. Tangbuy also has the right to temporarily or permanently shut down the TangbuyDS Services and/or the dropshipping.tangbuy.com website or application, or any related functions, without prior notice to you and without any liability.
15.3 Upon termination of this Agreement for any reason, all rights and obligations of the parties shall immediately cease, except for those that are expressly stated to survive or that, by their nature, should continue in effect.
15.4 Upon termination of this Agreement for any reason, all rights and licenses granted to you hereunder shall automatically terminate, and your use of the TangbuyDS Services and your access to and use of the dropshipping.tangbuy.com website and application shall simultaneously cease.
15.5 Termination of this Agreement for any reason shall not affect any liabilities you have incurred due to breaches prior to termination or any obligations (including but not limited to payment obligations) arising under this Agreement.
15.6 Following termination of this Agreement, Tangbuy shall have the right, at its sole discretion, to delete from its systems all of your personal information and any files or information you provided to Tangbuy or that are related to your use of the TangbuyDS Services, unless otherwise provided in our Privacy Policy.
15.7 Following termination of this Agreement, Tangbuy reserves the right, at its sole discretion, to take any necessary measures, including technical measures, to prevent your unauthorized use of the TangbuyDS Services.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”), without regard to conflict of law rules. Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the TangbuyDS Services, or the breach, termination, or invalidity thereof, shall first be resolved through friendly consultations between the parties concerned. If no resolution is reached within thirty (30) days from the date one party first requests consultations, such dispute, controversy, or claim shall be submitted to the Hong Kong International Arbitration Centre (“HKIAC”) for arbitration in accordance with the HKIAC Administered Arbitration Rules then in effect. The seat of arbitration shall be Hong Kong. The tribunal shall consist of three arbitrators. The arbitration language shall be English. The arbitral award shall be final and binding on all parties.
17. Notices
All notices required under these Terms must be in writing. We will send notices to users via email or the in-site messaging system of the Services; you agree that such delivery constitutes effective written notice. You are responsible for ensuring that the email address you provide to Tangbuy is accurate and current. You shall send notices to us via the designated email address or through the in-site messaging system. We will endeavor to respond promptly, but cannot guarantee a consistent response time.
18. General Provisions
18.1 You and Tangbuy are independent contracting parties. Nothing herein creates any agency, partnership, joint venture, franchise, sales representative, or employer-employee relationship between you and Tangbuy.
18.2 You may not assign, subcontract, or otherwise deal with your rights and/or obligations under these Terms. You acknowledge and agree that we may assign, subcontract, or otherwise deal with our rights and/or obligations hereunder without prior notice to or consent from you.
18.3 If any part of these Terms is unlawful, invalid, or unenforceable, that part shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions.
18.4 Our delay or failure to exercise any power, right, or remedy under these Terms shall not be deemed a waiver thereof.
18.5 The headings in these Terms are for convenience only and do not affect interpretation.
